Legal Intern

Overview

Reporting to the EVP, General Counsel, you will be responsible for duties including, but not limited to:

Duties and Responsibilities

  • Reviewing and drafting commercial agreements including letters of intent, confidentiality agreements, partnership and shareholder agreements, development agreements, and construction contracts
  • Conducting research and analysis on various corporate and real estate law matters and preparing memoranda in connection with same
  • Assisting with document review, organization, and management in various transactional and compliance matters
  • Managing and updating legal databases to ensure accurate and timely entry of applicable documentation, contracts, constating documents and corporate records
  • Supporting corporate governance initiatives, including drafting resolutions, attending board meetings and drafting meeting minutes 
  • Reviewing continuous disclosure documents including the management information circulars and annual information forms
  • Participating in various aspects of the annual meetings of shareholders, including the review of the legal and Chair scripts
  • Reviewing litigation files while helping to ensure accurate record keeping 
  • Participating in the legal and compliance component of equity offerings including the private placements of securities
  • Collaborating with cross-functional teams to resolve implicated legal issues
  • Assisting in reviewing and updating internal policies and compliance materials

Requirements

  • Working toward their University degree in Commerce, Arts or Law
  • Strong organizational, analytical and time management skills. 
  • Detail oriented, self-motivated and resourceful, with strong interpersonal and communication skills
  • Proactive and self-directed with demonstrated ability to work independently and as part of a team
  • Able to prioritize, multi-task and able to work in a changing, fast-paced environment
  • Able to deal with confidential information and demonstrate reliability and dependability 
  • Task orientated, able to work well under pressure, willing to work overtime, as required
